Minutes of Meeting

The Special Meeting of the Housing Authority of the City of Norwalk was held at 4:00 PM, October 30, 2019,

Meeting opened at 4:10 PM.

Adam Bovilsky established the presence of Chairman Ramirez, Vice Chairman Ingraham and Commissioner Dupervil and Commissioner Brenda Penn-Williams.    

Mr. Bovilsky noted that Commissioner Brown will not be attending this meeting.

Attendees were introduced.

New Business:

The purpose of this meeting was to review and discuss real estate and financial transactions documents in connection with the development of Washington Village Phase 3. Mr. Bovilsky turned the meeting over to Rolan Young and Meegan Glasheen attending by conference call. Documents were described as presented in the Omnibus Resolution.

Commissioners and attendees discussed the loan agreements, funding sources, function of the ground lease and HUD regulations as they relate to the ground lease, financial reporting, cash flow, debt distribution and financial instruments used to secure financing and real estate agreements between Norwalk Housing, Trinity Financial, HUD, the equity investor, Norwalk Redevelopment Agency and the City of Norwalk for the development of Soundview Landing Phase Three.

16-49 Commissioner Ingraham moved to approve:

RESOLUTION AUTHORIZING CERTAIN ACT IS CONNECTION WITH THE REDEVELOPMENT OF WASHINGTON VILLAGE PHASE 3 REDEVELOPMENT

Commissioner Dupervil seconded the motion.

Commissioners stated this agreement, with Adam's administration, provided legal protection for the Norwalk Housing Authority and its residents.

Patrick Lee introduced Leslies Torres, Vice President of Management for Trinity/ Soundview Landing, whose expertise would be necessary for the next agenda item.

The Commissioner temporarily went into recess

At 5:44 PM

Commissioners returned to the meeting.

With input from Adam Bovilsky, Kras Carlucci, Tom Ivers and Leslie Torres, Commissioners reviewed in detail the obligations and screening of former Washington Village residents who with to return to Soundview Landing as outlined in the CNI RE-Occupancy Plan.

After debate of the criminal background check and the credit check Commissioners agreed to table this item to the regular meeting November 19, 2019.
